DARTNODE REFERRAL AGREEMENT

By joining the DartNode Referral Program, you (the "Referrer") agree to the terms and conditions outlined in this agreement. DartNode reserves the right to update or modify these terms at any time without prior notice.

1. Enrollment in the Program

Upon joining the program, you agree to abide by the rules and guidelines set by DartNode. DartNode reserves the right to approve or reject any application for enrollment at its sole discretion.

2. Referral Fee

The Referrer will earn a 30% commission on the first sale from a referred customer and 30% on every subsequent renewal payment from that customer.

1. Cookie Duration: The referral link includes a 120-day cookie period. The referred customer must sign up within 120 days of clicking the referral link for the Referrer to be eligible for commission.
2. Eligibility for Commission: The referred customer must not be an existing or previous customer of DartNode. The commission is only earned on payments that are completed without refunds or chargebacks.
3. Payment Terms: Payouts will be processed once the Referrer has earned at least $100 in commission. Payout options include Account Credit, PayPal, Direct Deposit, or Check.

4. Referrer Obligations

1. The Referrer agrees to use lawful methods for generating referrals. Spam or misleading practices are prohibited.
2. Referrers must not make false claims about DartNode’s services. Misrepresentation will lead to termination from the Program.

5. Termination and Modification

1. Termination by DartNode: DartNode may terminate the Referrer’s participation in the Program at any time. Unpaid commissions may be forfeited if termination is due to the Referrer's violation of the terms.
2. Termination by Referrer: The Referrer may withdraw from the Program by providing written notice to DartNode.
3. Modification: DartNode may modify the terms of this Agreement at any time. Continued participation in the Program implies acceptance of the new terms.

6. Independent Contractor Relationship

The Referrer is an independent contractor and is responsible for any legal or tax obligations related to their earnings. This agreement does not establish an employment or agency relationship between the Referrer and DartNode.

7. Confidentiality

The Referrer agrees to keep any proprietary information about DartNode, including marketing materials and pricing, confidential.

8. Limitation of Liability

DartNode is not liable for any indirect or incidental damages related to this Agreement. The maximum liability of DartNode is limited to the total referral fees earned by the Referrer.

9. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law provisions.

10. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements related to the subject matter herein.
